Terms of Service
These Terms of Service ("Terms") govern your access to and use of HyperInsight (the "App" or "Service"), including all related content, features, software, and applications. By registering, accessing, or using the Service, you agree to be bound by these Terms, including any updates. If you do not agree, you must not use the Service.
1. Eligibility & Account
- Eligibility. You must be of legal age in your jurisdiction and capable of entering into binding contracts. The Service is for personal, non-commercial use unless otherwise agreed.
- Account Creation. To access certain features, you must register an account. You warrant that all information provided is accurate, current, and complete.
- Account Security & Responsibility. You are responsible for safeguarding your login credentials and for all activities conducted via your account. If unauthorized access occurs, you must notify us promptly.
- Account Deletion. You may request deletion of your account. Upon deletion, we will remove or anonymize your personal information within a reasonable timeframe (subject to legal obligations or dispute retention).
2. License & Use Restrictions
- License Grant. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service for your personal use.
- Restrictions. You shall not, without our prior written consent:
- Copy, reproduce, modify, or create derivative works of the Service or any content.
- Aggregate, republish, sell, license, or distribute any content or data.
- Use automated means (e.g. scraping, crawling, bots) to access or extract data.
- Bypass or interfere with security features or measures of the Service.
- Use the Service for commercial resale or training AI models unless explicitly permitted.

- Third-Party Data. Some content or data in our Service may originate from third-party providers. Your use of such content is governed by the applicable third-party terms and policies.
3. Prohibited Activities
- You agree not to:
- Engage in illegal, harmful, fraudulent, or abusive conduct.
- Upload or transmit any content that is defamatory, obscene, infringing, or malicious.
- Overload, disable, or impair the Service or its infrastructure.
- Introduce malware, viruses, or harmful code.
- Impersonate others or forge headers, identifiers, or other misrepresentations.
- Use the Service to solicit professional advice (financial, legal, medical) in a regulated capacity.
4. Subscriptions, Fees & Refunds
- Subscription Plans. The Service may offer free features and paid subscription plans.
- Payment & Renewal. Subscription fees are billed in advance on a recurring basis unless canceled.
- Refund Policy. Except where required by law or as per platform policies (e.g. App Store, Google Play), subscription payments are non-refundable.
- Termination by Us. If we discontinue or materially change the Service, we may, at our discretion, issue prorated refunds or credits for unused portions.
6. Content & Community Contributions
- You may post or share content (text, images, videos, opinions) within the Service ("User Content"). You are fully responsible for User Content.
- User Content does not constitute investment advice. Users rely on it at their own risk.
- By submitting User Content, you grant us a worldwide, royalty-free, transferable, sublicensable license to host, display, reproduce, modify, distribute, and otherwise use the content in connection with operating and improving the Service.
- We reserve the right to remove or restrict access to User Content for violation of these Terms or at our discretion, without liability.
7. Disclaimers & Limitation of Liability
- No Advice. All content provided by the Service is for informational purposes only and does not constitute investment, financial, legal, or other professional advice.
- "As Is" & "As Available." The Service and all content is provided on an "as is" and "as available" basis, without warranties or guarantees.
- Limitation of Liability. To the fullest extent allowed by law, AXIPHER LIMITED and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any damages for lost profits or data, arising from your use of or inability to use the Service.
- Cap on Liability. Our total liability to you for all claims under these Terms shall not exceed the amount you have paid us in the past 12 months (or USD 100 if you have not paid).
- Some jurisdictions do not allow certain exclusions or limitations, so parts of the above may not apply to you.
8. Indemnification
- You agree to indemnify, defend, and hold harmless AXIPHER LIMITED and its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, judgments, costs, and expenses (including legal fees) arising from or related to:
- Your violation of these Terms;
- Your use or misuse of the Service;
- Your User Content;
- Your violation of any law, rights of third parties, or regulatory obligations.
9. Third-Party Links & Services
- The Service may contain links to third-party websites, APIs, or services. We do not control, endorse, or assume responsibility for such third-party content or their practices. Your interaction with them is at your own risk.
10. Modifications, Suspension & Termination
- We may modify, update, suspend, or discontinue the Service (or parts thereof) at any time, for any reason, without liability.
- We may also revise these Terms; revisions become effective upon posting. If you disagree, you should cease use of the Service.
- If you breach these Terms, we may suspend or terminate your access immediately, without notice.
11. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or relating to these Terms or the Service shall be brought before courts in Hong Kong, or as otherwise agreed.
12. General Provisions
- Severability. If any provision is deemed invalid or unenforceable, it will be removed or modified without affecting the remaining provisions.
- Entire Agreement. These Terms, together with the Privacy Policy and any other referenced terms, constitute the entire agreement between you and AXIPHER.
- Waiver. No waiver of any term is effective unless in writing.
- Force Majeure. We are not liable for delay or failure due to causes beyond our control, such as natural disasters, war, outages, or governmental acts.
- Limitation Period. Any claim must be brought within 2 years of accrual or be barred (if permitted by law).

- If you provide feedback, ideas, or suggestions ("Feedback"), you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, publish, and exploit such Feedback without obligation to you.
